Terms of Service

These Terms of Service govern access to and use of Revenue AI. By accessing or using the Service, you agree to these Terms on behalf of yourself or the organization you represent.

Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of Revenue AI’s websites, applications, software, integrations, automation functionality, and related services (collectively, the “Service”). By accessing or using the Service, creating an account, executing an order or subscription, or otherwise using Revenue AI, you agree to these Terms. If you use Revenue AI for an organization, you represent that you have authority to bind it. If you do not agree, you may not use the Service.

Eligibility

You may use Revenue AI only if you have the legal capacity and authority necessary to enter into these Terms. The Service is intended primarily for businesses and professional users, not personal or consumer use. If you act for an organization, you are responsible for ensuring your use is authorized.

Accounts

Certain features may require an account. You are responsible for providing accurate account information, maintaining confidential credentials, controlling access granted to authorized users, maintaining permissions for connected systems, and activities occurring through your account. Notify Revenue AI promptly of unauthorized access. Revenue AI may suspend access where reasonably necessary to protect the Service, customers, third parties, or connected systems.

Service Description

Revenue AI provides software intended to help businesses analyze, manage, and automate portions of their revenue and sales operations, including lead analysis, CRM data processing, conversation analysis, qualification, AI-generated or recommended responses, follow-up, workflow execution, human handoff, appointment-related processes, and sales operations. Features may vary by plan, configuration, integrations, implementation, and availability. Revenue AI may modify, add, remove, test, or improve features over time.

Acceptable Use

You may not use Revenue AI to violate applicable law; send communications you are not permitted to send; engage in unlawful spam or abusive messaging; harass, threaten, deceive, or unlawfully discriminate; facilitate fraud; process information you lack rights to use; gain unauthorized access; circumvent controls; introduce malicious software; reverse engineer except as law permits; or materially harm Revenue AI, its infrastructure, customers, or third parties. Revenue AI may restrict or suspend use presenting a material security, legal, or operational risk.

Customer Data

Customer Data means information submitted to, transmitted through, synchronized with, or otherwise processed by Revenue AI on your behalf. It may include CRM records, lead and contact information, conversation history, messages, qualification and opportunity information, appointments, workflow information, and related sales data. The Customer retains its rights in Customer Data. You represent that you have the necessary rights, permissions, notices, and lawful basis for processing. You authorize Revenue AI and its service providers to process Customer Data as reasonably necessary to provide, maintain, secure, support, and improve the Service, subject to applicable agreements and law.

CRM and Integration Authorization

Revenue AI may connect with third-party CRMs, communications platforms, calendars, and other systems at your direction. By connecting a service, you authorize Revenue AI to access, retrieve, process, and where enabled, transmit information as necessary to provide configured functionality. You are responsible for authority, accounts, permissions, credentials, configuration, and compliance with third-party terms. Revenue AI is not responsible for third-party changes, outages, restrictions, errors, or discontinuation outside its reasonable control.

AI-Generated Output

Revenue AI uses artificial intelligence and automated systems. AI-generated output may include analyses, classifications, recommendations, messages, suggested actions, summaries, or other generated content. AI is probabilistic and may produce incomplete, inaccurate, inappropriate, or unexpected output. You are responsible for determining whether output is appropriate for your business and for configuring automation and oversight. Revenue AI does not guarantee the accuracy, completeness, suitability, or business outcome of AI-generated output.

Automated Messaging

Certain functionality may allow communications to be generated, scheduled, recommended, or transmitted through connected providers. When enabled, you authorize Revenue AI to perform configured actions on your behalf within available permissions and controls. You remain responsible for contacts, timing, consent or legal authority, content and purpose, messaging and telemarketing requirements, and appropriate automation and human-supervision settings. Revenue AI does not guarantee use satisfies every requirement applicable to your business.

Customer Messaging and Consent Responsibilities

The Customer is responsible for ensuring collection and use of contact information and communications comply with applicable laws, regulations, industry rules, contractual obligations, and platform requirements. This may include consent, telemarketing, SMS and telephone communications, email marketing, opt-outs, do-not-contact requests, calling hours, recordkeeping, privacy, and data protection. Revenue AI provides software tools and does not determine whether an individual may legally be contacted by a Customer.

Third-Party Services

Revenue AI may rely on or integrate with CRM infrastructure, communications, artificial intelligence, cloud hosting, databases, authentication, payment processing, analytics, monitoring, and other infrastructure. Use of third-party services may be governed by agreements between you and those providers. Revenue AI does not control third-party services and is not responsible for their independent acts, omissions, availability, policies, or changes.

Fees and Billing

Certain Revenue AI services require payment. Applicable fees, billing intervals, usage charges, implementation fees, and other commercial terms will be disclosed through the applicable order form, subscription page, proposal, or other agreement. You agree to pay all applicable charges according to those terms. Unless otherwise stated, fees do not include taxes that may apply.

Subscription and Cancellation

Subscription duration, renewal, cancellation rights, implementation terms, and any applicable refund terms are governed by the plan, order form, proposal, or other commercial agreement applicable to the Customer. Revenue AI may establish different commercial arrangements for different customers or plans.

Intellectual Property

Revenue AI and its licensors retain all rights, title, and interest in the Service, including software, technology, interfaces, designs, documentation, workflows, systems, branding, and related intellectual property, excluding Customer Data and third-party materials. These Terms grant a limited, non-exclusive, non-transferable right to use the Service during the authorized access period. No ownership rights are transferred.

Confidentiality

Each party may receive non-public information from the other in connection with the Service. The receiving party will use reasonable care to protect confidential information and use it only for the business relationship, except where disclosure is authorized or legally required. Confidential information excludes information that is lawfully public, independently developed, or lawfully obtained without confidentiality obligations. Additional obligations may appear in a separate agreement.

Beta and Experimental Functionality

Revenue AI may make beta, preview, early-access, experimental, or evaluation functionality available. It may change materially, contain errors, be incomplete, have limited availability, or be modified or discontinued. Beta functionality should not be relied upon for critical operations unless Revenue AI expressly states otherwise.

Service Changes

Revenue AI may modify the Service as the product evolves, including adding, changing, limiting, replacing, or discontinuing features. Where reasonably practicable, Revenue AI may provide notice of material changes that significantly affect existing paid functionality.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. REVENUE AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT AI-GENERATED OUTPUT WILL ALWAYS BE ACCURATE OR APPROPRIATE. REVENUE AI DOES NOT GUARANTEE REVENUE, SALES, APPOINTMENTS, CONVERSION RATES, RESPONSE RATES, LEAD QUALITY, OR SPECIFIC BUSINESS RESULTS. THE SERVICE IS NOT LEGAL, TAX, FINANCIAL, OR OTHER PROFESSIONAL ADVICE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVENUE AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL ARISING FROM THE SERVICE. SUBJECT TO APPLICABLE LAW, REVENUE AI’S AGGREGATE LIABILITY WILL NOT EXCEED [LIABILITY CAP TO BE DETERMINED IN CUSTOMER AGREEMENT / BY LEGAL COUNSEL].

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Revenue AI and its affiliates, officers, employees, and agents from third-party claims, damages, liabilities, costs, and expenses arising from your unlawful use, violation of these Terms, Customer Data, communications with leads or customers, violation of messaging, privacy, marketing, or data-protection requirements, or infringement of third-party rights.

Termination

You may stop using the Service subject to your applicable subscription or commercial agreement. Revenue AI may suspend or terminate access where required by law; fees remain unpaid; Terms are materially violated; use creates a material risk; use threatens infrastructure; or continued provision is no longer commercially or technically feasible. Where appropriate, Revenue AI may provide notice and an opportunity to remedy a violation.

Governing Law

These Terms are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to conflict-of-law principles.

Dispute Resolution

Any dispute arising from or relating to these Terms or the Service will be resolved according to [DISPUTE RESOLUTION MECHANISM TO BE DETERMINED].

Changes to These Terms

Revenue AI may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Where required or appropriate, Revenue AI may provide additional notice of material changes. Continued use after updated Terms become effective may constitute acceptance where permitted by law.
